Manuel Maisog is a partner at Hunton & Williams LLP, and the Chief Representative of its Beijing office. He has had key roles in many prominent energy transactions, both in China and elsewhere in the Asia-Pacific region.
As representative examples, in China, Mr. Maisog represented a major Southeast Asia-based multinational energy concern in its acquisition of interests in two coal mining joint ventures in Shanxi, and in its acquisition of a portfolio of foreign-invested enterprises operating power and steam generating assets in Northeast China. He has also represented project sponsors in the negotiation and drafting of turnkey engineering, procurement and construction contracts for multiple electricity generation facilities in Taiwan, and represented a Taiwanese potential acquiror in its evaluation of a preliminary equity investment in a coal-fired power plant in Inner Mongolia.
Elsewhere in the Asia-Pacific region, Mr. Maisog represented the project acquiror in the privatization of the largest and most advanced electricity generating facility in Thailand, and worked in the structuring and drafting of the concession agreement and ancillary contracts for the privatization of the national electricity transmission system in the Philippines. He represented a major independent power producer in Thailand in the refinancing of its project financing on a corporate financing basis, and represented the foreign equity participant in its extension of a bridge loan facility to an electricity generating subsidiary in Thailand. He also advised a coal mining project company in the negotiation of a long-term coal supply agreement for an electricity generating facility in Mindanao, and advised on the negotiation of the proposed acquisition of a hydroelectric facility in Laos.
Mr. Maisog also has experience in dispute resolution in the energy sector. He represented the acquiror of an interest in a coal mining venture in a complex international arbitration proceeding, and represented both public utility and private sector clients in the negotiation, drafting and execution of settlement agreements for the resolution of disputes with construction contractors in Thailand.
In addition to his work in the energy sector, Mr. Maisog’s practice also involves personal information protection, mergers and acquisitions, and foreign direct investment. Mr. Maisog earned an undergraduate degree at Princeton University and a masters degree at Harvard. He studied law at Harvard Law School, and Mandarin and Classical Chinese at the Stanford Center in Taiwan.
